MSME 45-Day Payment Rule (Section 43B(h)): How Small Businesses Can Recover Money Legally

Delayed payments kill more Indian MSMEs than lack of orders. Here is how small enterprise owners can legally enforce the 45-day payment rule under Section 15 of the MSMED Act and Section 43B(h) of the Income Tax Act to force corporate buyers to pay up on time.

For Indian micro and small enterprise suppliers, completing orders is easy; getting paid is the nightmare. Large corporate buyers and distributors frequently stretch payment cycles to 90, 120, or even 180 days, using the small supplier as a free zero-interest bank.

To permanently break this cycle, the Central Government enacted Section 43B(h) of the Income Tax Act in conjunction with Section 15 of the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006.

How the 15-Day and 45-Day Rules Work

  1. If There Is No Written Agreement: The buyer must pay the MSME supplier within 15 days from the date of delivery of goods or services.
  2. If There Is a Written Contract: The contract cannot specify a payment period exceeding 45 days. Even if a buyer makes you sign an agreement stating "payment after 90 days", that clause is null and void under Indian law — the maximum legal cap remains 45 days.

The Tax Weapon: Section 43B(h) of the Income Tax Act

Why are corporate buyers suddenly terrified of delaying payments to registered MSMEs? - Under Section 43B(h), any buyer who fails to pay a registered Micro or Small enterprise within the 15-day / 45-day statutory window cannot claim that expense as a tax deduction in that financial year! - The unpaid amount is added back to the buyer's taxable corporate income, forcing them to pay 30%+ corporate tax plus penalties on that unpaid invoice!

Crucial Distinction: Section 43B(h) protects Micro and Small Enterprises engaged in manufacturing and services. Medium enterprises and pure retail traders (trader Udyam) are currently exempt from the 43B(h) tax penalty.

Compound Penal Interest: 3 Times RBI Bank Rate

Under Section 16 of the MSMED Act, if a buyer delays payment beyond 45 days, they are legally liable to pay the supplier compound interest with monthly rests at 3 times the RBI Bank Rate. - If the RBI Bank Rate is 6.75%, the statutory penal interest is 20.25% per annum compounded monthly! - This interest is non-deductible for the buyer under income tax laws.

How to File on the MSME Samadhaan Portal

If a buyer refuses to pay your invoices: 1. Ensure your Udyam Registration Certificate was active on the date the invoice was raised. 2. Visit the official portal: samadhaan.msme.gov.in. 3. Click "Case Filing for Entrepreneur" and enter your Udyam Registration Number. 4. Upload: - Copy of the Purchase Order / Work Contract. - Copies of unpaid tax invoices with proof of delivery (transporter LR or gate pass). 5. The application is forwarded to the Micro and Small Enterprises Facilitation Council (MSEFC) in your state. 6. The MSEFC issues an automatic legal conciliation notice to the defaulting buyer. If conciliation fails, the council issues an executable arbitral award under the Arbitration and Conciliation Act, 1996.

Q.Does the 45-day payment rule apply to traders with Udyam certificates?

No. While retail and wholesale traders can get Udyam certificates for priority sector bank lending, they are excluded from the Chapter V delayed payment protections and Section 43B(h) benefits.

Q.Can a buyer cancel future orders if I demand payment within 45 days?

Commercial buyers cannot legally penalize suppliers for statutory compliance. Furthermore, large auditors mandatorily verify supplier MSME status to prevent tax disallowances under 43B(h).
